1. INTRODUCTION

Welcome to Communa.Tech.

Communa.Tech is a platform that integrates accommodation, work, and leisure within a community-based environment. By accessing or using our services, you agree to these Terms of Use.

2. NATURE OF THE SERVICE

Communa.Tech provides access to a hospitality and community platform.

The services offered do not constitute:

real estate acquisition
financial investment
ownership rights in any property or asset
equity participation in any company

All memberships represent a license to access and use services, subject to these Terms.

3. OPERATOR

Communa.Tech is operated by:

The operation may be carried out in properties owned or managed by third parties.

Communa.Tech reserves the right to transfer its operations to another entity within the same economic group or a partner entity, ensuring continuity of services.

4. FOUNDING PHASE

Early members are part of the Founding Phase of Communa.Tech.

By joining during this phase, members acknowledge that:

the project is under development
structures, services, and experiences may evolve over time
participation contributes to the consolidation of the model

5. LOCATION FLEXIBILITY

The initial location presented is indicative only.

Communa.Tech may be implemented in different locations within the proposed region, based on:

technical feasibility
environmental conditions
operational strategy

No specific property is contractually guaranteed.

6. MEMBERSHIP, LICENSE AND TRANSFER

Membership grants a personal and conditional license to access Communa.Tech services.

This license:

does not represent ownership
is subject to availability and operational conditions
may evolve in its operational aspects as the platform develops, while preserving the essential nature of the Membership and subject to applicable law

Memberships are not freely transferable. However, a Member may request the transfer of their Membership to another person.

Any proposed new Member must submit an application and successfully complete Communa.Tech’s current Member selection and approval process. The same eligibility and community standards applicable to new Members may be applied to the proposed transferee.

A transfer becomes effective only after written approval by Communa.Tech and completion of the required documentation. Until approval is granted, the original Member remains the holder of the Membership.

Approval of a transfer is not automatic and is subject to the proposed new Member meeting Communa.Tech’s applicable membership and community criteria.

7. AVAILABILITY AND ACCESS

Access to spaces and services depends on:

capacity limits
scheduling systems
operational rules

Communa.Tech does not guarantee unlimited or unrestricted access at all times.

8. COMMUNITY, OPERATIONS AND DAILY FEES

Lifetime Membership grants access rights under the applicable Membership conditions but does not eliminate recurring community or usage-related operating charges. These charges are designed to support the long-term operation, maintenance, and sustainability of the Communa.Tech ecosystem.

Annual Community Fee

An Annual Community Fee of US$149 per Membership applies to support membership administration, the community platform, technology, communication, member services, and the continued operation of the Communa.Tech ecosystem.

The Annual Community Fee is included during the first operational year of the Membership and becomes payable starting from the second operational year following the activation of access to the first operating Communa.Tech location.

Failure to pay the applicable Annual Community Fee may result in temporary suspension of booking and physical access rights until the Membership is regularized. Non-payment of the Annual Community Fee, by itself, does not automatically terminate the Lifetime Membership.

Daily Operations & Maintenance Fee

A Daily Operations & Maintenance Fee of US$6 applies for each day of confirmed physical use of a Communa.Tech location by the Member.

This fee contributes to the daily operation and preservation of the physical infrastructure, including utilities, cleaning, maintenance, security, internet, shared spaces, and other operational services.

The Daily Operations & Maintenance Fee is charged only in connection with physical use of a Communa.Tech location and is separate from the Lifetime Membership acquisition price.

Optional Daily Meal Plan

Members may optionally add a Daily Meal Plan for US$14 per day, providing up to three meals during that day, according to the applicable menu, service schedule, and operational availability.

When the Daily Meal Plan is selected, the combined Daily Operations & Maintenance Fee and Meal Plan currently total US$20 per day: US$6 for operations and maintenance + US$14 for three daily meals.

Participation in the Daily Meal Plan is optional unless otherwise expressly stated for a specific event, experience, or accommodation package.

Fee Adjustments

The Annual Community Fee and Daily Operations & Maintenance Fee may be periodically adjusted according to objective adjustment criteria established in the applicable Membership Agreement, with prior notice to Members and in accordance with applicable law.

Meal Plan prices may be updated separately according to food and operating costs. The applicable price will always be disclosed before the Member confirms the service.

9. COMMUNITY CONDUCT

Members must:

respect other members
preserve shared spaces
follow community guidelines

Failure to comply may result in disciplinary action.

10. DISCIPLINARY MEASURES

Communa.Tech may apply the following measures:

Warning
Temporary suspension
Permanent removal (expulsion)

Process

Whenever possible, members will be given the opportunity to respond before a final decision.

Immediate Action

In serious situations, Communa.Tech may take immediate action to protect the community.

Consequences

In cases of removal due to misconduct, access rights may be terminated without refund obligations, subject to applicable law.

11. NO INVESTMENT CHARACTER

Membership in Communa.Tech:

does not generate financial returns
does not represent an investment contract
does not provide participation in assets or profits

12. PROJECT EVOLUTION

Communa.Tech is a continuously evolving project.

We reserve the right to:

modify services
adjust structures
expand or adapt capacity
improve the overall experience

Such changes shall preserve the essential nature of the Membership and shall be implemented in accordance with these Terms and applicable law.

13. OPERATIONAL CONTINUITY

The continuation of Communa.Tech depends on:

operational viability
financial sustainability
legal and environmental conditions

In case of permanent operational impossibility, Communa.Tech may discontinue its activities, adopting proportional compensatory measures where applicable.

14. FORCE MAJEURE

Communa.Tech shall not be held liable for failure or delay in performance due to events beyond its control, including but not limited to:

environmental restrictions
regulatory actions
natural events
governmental decisions

15. CHANGES TO THESE TERMS

These Terms may be updated when reasonably necessary to reflect legal, regulatory, technological, operational, or service-related developments.

Material changes will be communicated to Members in advance whenever reasonably possible. Updates to these Terms shall not be used to retroactively eliminate essential Membership rights or to permit arbitrary or unilateral changes to prices outside the adjustment mechanisms previously established with the Member.

Continued use of the platform after a validly communicated update constitutes acceptance of the updated operational Terms, subject at all times to applicable law and previously acquired contractual rights.
